A lot of these people have full time jobs and sit on the boards of multiple companies. Sounds like it's a lucrative line of work depending on what the payback is.

How do you overthrow the board of directors of a publicly owned bank? i work at a locally owned bank, not run by stock holders, and a lot of other employees and i are talking about overthrowing the board of directors next year (2008). we know it can be done because it is a publicly owned bank, that is, owned by the customers. we need to know how to go about it the right way so that we are sucessfull. i know that we can get enough people behind us to vote us in but is there any legal issues we have to go through first?

In the State of Missouri, what is the maximum number of the board of directors should be in the nonprofit org? Our original bylaws indicated six individuals to become the member of the board of directors. Due to politics and limited knowledge of the people at the place of worship, they expanded to 26 people. Also, the head of the priests serve as the President or Chairperson of the board. I do appreciate any insight information or comments that you can make. I suggested to the group that we should stick with our original charters. (The group acted more like a gang, by bringing their peers to serve on the board and making decisions toward their own.) The Executive Director is a paid position ($59k/Year). I was under the impression that IRS does not allow Board members to receive compensation for their work... Is is possible to force the board of directors of a non-profit organisation to resign? The board of directors of a non-profit organisation based in Quebec has lost most of its volunteers and employees. Although some of its members have asked, in writing, for a special meeting to be called the president refused. Is their any recourse? The system of accounting has been changed from an assured Simply Accounting to an easily manipulated excel program and half of the organisation's savings have been spent. The lack of respect and appreciation for the volunteers has forced people with between 10 and 30 years of irreplacebale experience to withdraw their support. The general annual meeting is coming up but only 2/5 positions are up for election and there are few people willing to work with the 3 administrators not up for election. Are the members forced to keep a board of administrators whose ethics & administrative conduct are in serious doubt? Legally, without an examination and/or interpretation of the administrative files, I believe there is no recourse. Any ideas?
